Terms of Service
Effective date: August 4, 2026
1. Agreement & Operating Entity
These Terms of Service ("Terms") govern your access to and use of services, custom automations, software applications, and systems provided by Knodd("Company," "we," "us," or "our"), based in India.
By executing a statement of work, submitting an upfront deposit, or accessing our services, you ("Client," "User," or "you") agree to be legally bound by these Terms and our Privacy Policy.
2. Scope of Automation Services
Knodd designs, engineers, fine-tunes, and deploys custom AI automation solutions, including:
- Voice Agents & Telephony Integrations: AI-powered call handlers, automated callbacks, and priority escalation callers that contact you directly when urgent events or meetings occur.
- CRM Centralization: Unifying revenue, customer contacts, lead statuses, and deal pipelines into a centralized CRM interface.
- Multi-Agent Swarm Workflows: Collaborative networks of AI agents performing market research, lead updating, marketing, spreadsheets, and task execution.
- CognoV Proprietary Accounting System: Our proprietary AI software ("CognoV") providing automated bookkeeping driven strictly from text inputs.
3. Service License & Non-Sublicensing Restriction
We sell you our automation systems and software as a service exclusively for your own internal business use.
- Internal Use Only: You are granted a limited, non-exclusive, non-transferable right to access and utilize the custom automation built for your business.
- Strict Prohibition on Sub-Licensing: You cannot sub-license, resell, lease, syndicate, white-label, re-distribute, or transfer our automations, custom code, agent workflows, or proprietary tools to any third party without explicit prior written authorization from Knodd.
4. Intellectual Property, Fine-Tuning & Workflow Rights
Our engineering process relies on configuring and fine-tuning existing Knodd proprietary models, agent architectures, and workflow modules.
- Client Ownership: You own your specific confidential business data, raw inputs, and your specific configured automation output.
- Knodd IP & Reusable Workflows: Knodd retains full ownership and intellectual property rights over all underlying code, base platforms, agent frameworks, prompt libraries, system architectures, and proprietary software—including our proprietary accounting engine, CognoV.
- Right to Reuse Workflows: Knodd explicitly reserves the right to reuse, adapt, modify, and deploy the same or similar workflow structures, automation logic, and architectural designs for other clients or projects.
5. Payment Terms & Schedule
All automation projects are executed on a custom quoted price basis agreed upon prior to project kickoff.
- 50% Upfront Deposit: Client must pay 50% of the total quoted amount before work, task setup, or system design begins.
- 50% Final Payment: The remaining 50% of the quoted amount must be paid immediately after project completion, final testing, and submission/handover.
- Invoices not paid on time may result in suspension of project delivery or active automation services.
6. Deposit Non-Refundability & Project Cancellation
The upfront 50% deposit compensates Knodd for initial architectural allocation, custom fine-tuning, server provisioning, and dedicated engineering labor.
- Strict No Refund Policy: If Knodd initiates development or builds the automation system for you, and you subsequently cancel, delay, or terminate the project for any reason, you will NOT receive any refund for the initial deposit under any circumstances.
- If cancellation occurs after project completion, full payment of the remaining 50% balance remains due.
7. Voice Agents & Telephony Compliance
Our Voice Agents place calls and conduct conversations based on configured workflows. You agree that:
- You are strictly responsible for complying with all regional telecommunication laws, caller consent requirements, TRAI regulations (in India), TCPA (in the US), and local call recording laws.
- Priority calls placed by Voice Agents to your direct phone number for urgent updates or meeting schedules depend on telecommunications carrier availability.
8. CognoV Proprietary Accounting System
CognoV is a proprietary software system created by Knodd to process bookkeeping from natural language text.
- CognoV simplifies ledger creation without requiring prior accounting knowledge. However, CognoV is an operational tool and does not constitute certified legal or tax advisory.
- You remain ultimately responsible for reviewing financial entries prior to official tax filings or legal reporting.
9. Acceptable Use Policy
You agree not to use Knodd automations or software to:
- Violate any local, national, or international laws or regulations.
- Engage in illegal telemarketing, spam calling, or non-consensual automated outreach.
- Attempt to decompile, reverse-engineer, or extract underlying source code of our systems or CognoV.
- Interfere with or bypass system security, rate limits, or database isolation controls.
10. Limitation of Liability
To the maximum extent permitted by law, Knodd shall not be liable for indirect, incidental, consequential, or punitive damages arising from service usage, API downtime, or third-party carrier failures. Our total liability under any claim is strictly capped at the total amount paid by you to Knodd for the specific project giving rise to the claim.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or in connection with these Terms or services provided by Knodd shall be subject to the exclusive jurisdiction of the competent courts in India.
